Strategy (NASDAQ: MSTR) has officially stepped back into an active accumulation phase, deploying capital from a recent stock offering to acquire 4,603 Bitcoin (BTC).

According to an SEC Form 8-K filing, the corporate treasury giant capitalized on net proceeds generated from a substantial Class A common stock liquidation to fund both digital asset purchases and preferred-stock buybacks. The move marks a notable strategic execution, balancing aggressive Bitcoin acquisition with targeted capital management and liquidity expansion.

Breaking Down the Capital Raise and Allocation

Between August 24 and August 30, Strategy offloaded 4,531,421 shares of its Class A common stock. Following commissions and operational expenses, the transaction yielded $602.8 million in net proceeds.

Rather than channeling the entire sum into digital assets, corporate management split the capital across multiple balance-sheet priorities:

  • Bitcoin Acquisition: $369.7 million was allocated directly toward expanding the company’s flagship asset holdings.
  • Preferred Stock Repurchases: $151.8 million was used to buy back 1,557,177 shares of its variable-rate STRC preferred stock.
  • Dividend Distributions: $50.7 million went toward servicing STRC stock dividends.
  • Cash Reserve Injection: $30 million was added straight to Strategy’s growing USD Cash account.

The Bitcoin Purchase: By the Numbers

With the newly secured capital, Strategy scooped up 4,603 BTC for an aggregate price of $369.7 million (inclusive of fees and associated expenses). This translates to an average entry price of roughly $80,318 per bitcoin.

Following this latest tranche, the company’s aggregate digital ledger numbers reflect massive scale:
Total Holdings: 845,050 BTC

  • Cumulative Cost Basis: Approximately $63.73 billion
  • Average Cost Per Coin: $75,412 (inclusive of all historical fees and expenses)

Strategic Adjustments and Balance Sheet Health

Alongside its primary asset acquisition, Strategy’s repurchase of 1,557,177 shares of its variable-rate STRC preferred stock highlights an ongoing effort to manage its capital structure dynamically. Following these specific transactions, the firm still retains substantial safety buffers under its capital authorization programs:

  • $364.8 million remains available under the preferred-stock repurchase authorization.
  • $1.0 billion remains available under the MSTR share repurchase program.

Closing out the period, Strategy reported robust liquidity metrics, boasting a $5.10 billion USD Reserve alongside $1.61 billion in immediate USD Cash.

By successfully pairing corporate stock monetization with steady Bitcoin accumulation, Strategy continues to reinforce its position as a dominant institutional holder. While the recent sale of over 4.5 million MSTR shares introduced short-term dilution, management’s ability to swiftly pivot the proceeds back into digital real estate signals that the firm’s long-term treasury blueprint remains firmly anchored to Bitcoin.
