At the Federal Reserve Bank of Philadelphia’s Fintech Conference, SEC Chair Paul S. Atkins announced a comprehensive planning to establish a “token taxonomy” framework, marking it as one of the most ambitious efforts yet to clarify how cryptocurrencies fit into existing financial laws.
Rooted in the historic 1946 Supreme Court case SEC v. W.J. Howey Co., this framework seeks to define when a digital asset qualify as a security and when it evolves with something else entirely. In his remarks, Atkins highlighted the need for a modern approach that acknowledges crypto’s evolution:
We are at the threshold of a new era in the history of our markets… Our regulatory framework need not be anchored to an analog past—unkind to new frontiers.
According to the report, the Howey Test remains the SEC’s main yardstick for determining whether an asset is an investment contract, focusing on four elements such as (1) an investment of money, (2) in a common enterprise, (3) with an expectation of profit, (4) derived primarily from others’ efforts.
Furthermore, Atkins’ new taxonomy would retain this legal foundation but also apply “limiting principles” to reflect the decentralized and rapidly changing nature of crypto markets. Atkins said,
